Terms of Sale

Effective 28 October 2026.

Scope

These terms apply to every order for SysGene products, whether placed against a quotation or proforma invoice or by purchase order, unless a supply agreement signed by both parties says otherwise. The seller is SYSGENE BIOLOGICS PRIVATE LIMITED, #8-2-686/8/D/5, Road No. 12, Khairatabad, Hyderabad, Telangana 500034, India ("SysGene", "we"). Terms printed on a buyer's purchase order do not apply unless we agree to them in writing.

Who can buy

We sell to companies, research institutions and laboratories, not to individuals for personal use. We may ask for details of your organization or of the intended use before accepting an order, and we may decline any order.

Orders and acceptance

An order, placed by accepting our quotation or by purchase order, is an offer to buy. A contract is formed when we accept it by sending a proforma invoice, an invoice or an order confirmation. Until then we may decline the order, for example if a product is unavailable, a quotation contained an error, or we cannot deliver to the destination. If we cancel an order you have paid for, we refund the full amount.

Prices

Prices are given in our quotation: in Indian rupees for delivery in India, excluding GST, which is added on the invoice at the rate that applies to each product; and in US dollars for delivery outside India, excluding import duties and local taxes. Freight is stated in the quotation. Prices on a quotation or proforma invoice are held for the period stated on it, which is 30 days unless stated otherwise. The price on your accepted order is the price you pay.

Payment

Pay against our proforma invoice by bank transfer (NEFT or RTGS in India, international wire elsewhere), or against your purchase order where we have agreed credit terms. Unless credit terms are agreed in writing, we dispatch once payment is received in full. The buyer pays its own bank's charges and any intermediary charges on international transfers.

Delivery

Delivery is described in our Shipping and Delivery Policy. Dispatch and delivery times are estimates. Risk in the products passes to you on delivery to the address in your order. International orders are shipped DAP (delivered at place, Incoterms 2020) unless agreed otherwise: the recipient pays import duties, taxes and clearance charges and obtains any import permit needed for biological materials. Ownership passes to you when we receive payment in full.

Intended use

Unless the product page, label or certificate of analysis states otherwise, products are supplied for research use and for use in further manufacturing. They are not medicines or diagnostic products and must not be administered to humans or animals. You are responsible for handling, storing and using products safely and lawfully, by trained personnel and in line with the safety data sheet, and for deciding whether a product is suitable for your application.

Quality and claims

Each lot is released against its specification, and lot-specific certificates of analysis are available on request. We warrant that products meet their specification on delivery and, when stored as instructed, until the expiry or retest date on the label or certificate. Please check every delivery on arrival. Damage, shortages, temperature problems and products that do not meet specification must be reported within the periods in our Cancellations, Returns and Refunds Policy. Where we confirm a problem, we replace the product or refund its price, and this is your remedy for non-conforming products. We give no other warranty, express or implied, including any warranty of fitness for a particular purpose.

Liability

To the fullest extent permitted by law, our total liability arising from an order is limited to the price paid for the products concerned, and we are not liable for indirect or consequential loss, including loss of profit, production, data or research materials. Nothing in these terms limits liability that cannot be limited by law.

Intellectual property

Buying a product gives you the right to use the product as supplied for its intended use. It does not grant a license under SysGene patents or other intellectual property for any other purpose, including resale, or reproducing or modifying the product, without our written agreement. mAbOn-A®, FabOn-L® and DRNase® are trademarks of SysGene.

Export controls

You agree to comply with export control and sanctions laws that apply to the products and not to re-export them in breach of those laws. We may decline orders where delivery or payment is restricted by those laws or by our banks and carriers.

Events beyond our control

We are not liable for delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, epidemics, strikes, carrier or customs delays, or government action.

Questions and complaints

For questions or complaints about an order, email info@sysgene.com with your order reference. We acknowledge every complaint within 48 hours and aim to resolve it within one month.

Governing law

These terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising from them.
